PRISM DRHP: A Look At Shareholding Pattern & Key Personnel

OYO parent PRISM has filed its updated DRHP for a fresh issue-only IPO with the SEBI. As per the company’s draft IPO papers, the public issue will consist solely of a fresh issue worth ₹6,650 Cr.

This marks the third attempt for OYO to go public. After shelving plans to go public in 2021, the company refiled confidentially in 2023. The second attempt was also fruitless. 

In the run up to its third attempt, it seems that founder Ritesh Agarwal has shored up his holdings in the company.

The group CEO directly holds 6.59% stake in the company. Meanwhile, he also owns 20.12% and 3.81% indirectly via his investment vehicles RA Hospitality Holdings and Patient Capital Investments, respectively.

Besides, the chief human resources officer (CHRO) Dinesh Ramamurthi holds 5.39% shares.

Besides, promoter group entity SoftBank holds the majority stake in PRISM, the company’s cap table features 81,848 diverse shareholders. SoftBank via SVF India Holdings (Cayman) Limited holds the highest stake of 40.04% precisely.

Apart from the aforementioned entities, there are 26 more entities listed as part of the company’s promoter group. 

The company rebranded from OYO to PRISM last year, and it has been repositioning itself as a global hospitality platform with businesses spanning hotels, resorts, vacation rentals and coworking spaces. 

As per the company’s DRHP, PRISM has a total of 13 subsidiaries as of March 2025, and two joint ventures. Its portfolio includes brands such as OYO, Motel 6, Studio 6, Sunday Hotels, Palette Hotels, DanCenter and Innov8.

After years of being under the light for tax issues, the hotel aggregator received a tax relief of ₹3,885.51 Cr, which was in relation to its share premium received by it from parent entity Oravel Stays Ltd (OSL).

PRISM received the SEBI nod for the IPO earlier this month, months after the company confidentiality filed its DRHP in December 2025.

On the financial front, the company posted a profit of ₹1,214.4 Cr and its top line stood at ₹6,941 Cr in the nine months ended December 2025 (9M FY26). For the full fiscal year FY25, PRISM’s net profit surged 93% to ₹271.8 Cr from ₹141.2 Cr in the previous fiscal. Operating revenue  rose 16% to ₹6,252.8 Cr, compared to ₹5,388.7 Cr in FY24.

Meet PRISM’s Leadership Team

Board of Directors

Ritesh Agarwal

Agarwal founded the company in 2012 and has been heading it as the group CEO and chairman ever since. Besides this, he is also a part of the The Thiel Foundation and serves as an executive committee member at FICCI.

Aditya Ghosh

Ghosh, founder of investment venture Homage, is part of PRISM’s board as non-executive nominee director since December 13, 2019. With an overall experience of almost three decades, Ghosh cofounded Akasa Air and is also a part of the airlines’ board. He is also on the board of The ePlane Company, GreenCell Mobility, Ashoka University and Ras Al Khaimah International Airport. Previously, he has worked with Indigo as president for 10 years.

Sumer Juneja

Juneja is a non-executive nominee director at PRISM since July 9, 2024. He is the managing partner at SoftBank Investment Advisors for more than seven years. With an overall experience of more than two decades, he has also worked with investment companies like Goldman Sachs and Norwest Venture Partners.

Bejul Somaia

Somaia has been serving as an independent director at PRISM since September 26, 2021. He is a partner at Lightspeed Venture Partners.

Troy Matthew Alstead

Alstead is the founder of hospitality company Ocean5 in Seattle. He has also founded Table47 and The Cup Coffee Lounge. He is currently an independent director at PRISM, and has been associated with the company since September 26, 2021. Besides PRISM, he is also a director at Array Technologies, and chairman of board Harley Davidson and Levi Strauss.

William Steve Albrecht

Albrecht joined as an independent director at PRISM on September 26, 2021 and has been with the company since then. Albrecht is a former president of the American Accounting Association and the Association of Certified Fraud Examiners. Besides these, he is on the board of companies like SkyWest Airlines, Larry H. Miller Group of Companies, and Deseret Mutual Benefit Association. 

Deepa Malik

Malik has been on the board of PRISM since September 26, 2021, as an independent director. She is an Indian para athlete and former president of Paralympic Committee of India. She won the silver medal at 2016 Summer Paralympics in shotput, becoming the first Indian woman to win a medal in the Paralympic Games.

Ajay Tyagi

Tyagi joined PRISM as an independent director of its board on February 1, 2026. Tyagi served as the chairman of Securities and Exchange Board of India (SEBI) for five years until 2022. He has held roles across ministries of environment and forests and petroleum and natural gas, Central Pollution Control Board and the Petroleum and Natural Gas Regulatory Board through his extensive public service career.

Key Managerial Personnel & Senior Management

Ankit Tandon

Tandon joined OYO in 2015 and has held various senior positions in the company for more than 10 years. He was elevated to the chief operating officer and chief executive officer for European operation in 2025. Additionally, he also heads its subsidiary G6 Hospitality as its vice chairman. 

He received an aggregate compensation of ₹4.56 Cr for the fiscal year 2025-26.

Rakesh Kumar

Rakesh Kumar joined PRISM as chief financial officer (CFO) in January 2018 and has been with the company since then. Previously, he has held senior positions in companies like EY, Eternal (rebranded from Zomato) and Moore Stephens.

For FY26, he received a remuneration of ₹2.39 Cr.

Shivam Kumar

Shivam Kumar, company secretary and compliance officer of PRISM, joined the company on March 26, 2018. He initially headed the legal division of OYO for five years until he was promoted to his current position. Previously, he has worked with Blue Coast Hotels.

Kumar received an aggregate compensation of ₹30.6 Lakh in FY26.

Dinesh Ramamurthi

Ramamurthi is the chief human resources officer (CHRO) at PRISM since January 11, 2016. Prior to that, he worked with Coca Cola as director of compensation and benefits of Asia Pacific for over two years. With an overall experience of 23 years, he has also worked with companies like ITC Limited, Hewitt Associates and Bharti Airtel.

For the full year FY26, he earned a remuneration of ₹54.1 Lakh from PRISM.

Rakesh Kumar Prusti

Prusti is the company’s general counsel, overseeing legal, corporate governance and risk management functions of PRISM. He has been associated with the company since April 2, 2018. Previously, he has been working with companies like Max Healthcare, Carrefour and NIIT Technologies, as head of their legal operations.

He received an aggregate compensation of ₹4.44 Cr in FY26.

Shashank Jain

Jain joined PRISM on August 23, 2017, and has headed the engineering department for most of his tenure in the company. He was promoted as the global head of technology and marketing in October 2024. Prior to that, he worked with companies like Snapdeal and Tally Solutions. He has also been a member of the Chrome Customer Advisory Board in Google for four years until January 2024.

For the fiscal year ended March 2026, he received a remuneration of ₹2.39 Cr.
