Icertis Replaced CEO After Whistleblower Alleged Favouritism: Report

A month after SaaS major Icertis CEO Anand Subbaraman transitioned from his role to an advisory position, reports have now surfaced that allege Subbaraman faced whistleblower complaints shortly before the transition occurred. 

As per a report by ET, Subbaraman had been accused of misconduct, inappropriate behaviour, and favouritism towards a junior employee by a whistleblower. He was under investigation by the board of directors after they received a complaint in May. 

Inc42 reached out to Icertis but didn’t hear back from the SaaS company. 

Subbaraman joined the SoftBank-backed startup in 2024 as its COO, after an over two year stint at Browserstack. He took over as CEO in August 2025, months before the unfortunate passing of cofounder and CEO Samir Bodas. 

On July 17, Subbaraman stepped down to an advisory role without specifying a reason for the move. 

Icertis CFO Rajat Bahri and board member Jim Moffatt took over as interim co-CEOs as the startup identifies a suitable candidate as its new CEO. 

Founded by Bodas and Monish Darda in 2009, Icertis offers contract management services to enterprises across over 90 countries. While headquartered in the US, its founders are Indians and the company has a major operational presence in India. 

It has raised a total of $516 Mn so far from investors like SoftBank, B Capital, Greycroft, Premji Invest, and others. Most recently, it raised a $50 Mn round last March. As of 2022, its latest valuation is around $5 Bn.
